Clarity Health Intelligence Services Terms of Uses

Welcome to Clarity Health Intelligence, Inc. (“Clarity,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the Clarity mobile application, platform, website and services, including the AI assistant known as “Clare” (collectively, the “Services”).

1. Acceptance of Terms

Please read these Terms before accessing or using the Services. By accessing or using any of the Services, you agree that you have ready, understand and agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Services.

2. Description of Services

Clarity offers and provides a digital health platform as presented via the Services which is designed to help individuals and caregivers organize, track, and better understand health-related information. The Services include the ability to store, manage and share information, which you remain in full control of what you share.

The Services may include:

  • Health data collection, organization and tracking tools
  • Care coordination features
  • AI-generated insights, prompts, and summaries (using Clare)
  • Access to third-party resources, content, and informational and other service provider integrations

3. Important Medical Disclaimer

Clarity and Clare do not provide medical advice.

  • All content, including outputs generated by Clare, are provided for informational and educational purposes only.
  • The Services are not a substitute for professional medical advice, diagnosis, and/or treatment.
  • Always seek the advice of a qualified healthcare provider regarding any medical condition or treatment.
  • Never disregard or delay seeking medical advice based on information from the Services.

If you believe you are experiencing a medical emergency, call 911 or your local emergency number immediately.

4. AI-Generated Content (Clare)

Clare uses generative artificial intelligence to provide responses, insights, reminders, and suggested actions.

By using Clare, you acknowledge and agree:

  • AI-generated outputs may be incomplete, inaccurate, or not applicable to your situation.
  • Clare does not have or use clinical judgment.
  • Clare’s responses are based on patterns, data inputs, and available information—not real-time clinical evaluation.
  • Clare’s responses are based on broadly based data sets, and while responsive to the information you provide, are not designed or intended to be used by you as diagnostic or clinical guidance.
  • You are responsible for reviewing and validating any information provided by us before acting on it.

Clarity does not guarantee the accuracy, completeness, or reliability of the content provided by us, and in particular, AI-generated content.

5. User Responsibilities

When using the Services, You agree to:

  • Provide accurate and truthful information.
  • Use the Services only for lawful purposes.
  • Use your own judgment, and as applicable, that of competent medical professionals, when interpreting insights or recommendations that We provide.
  • Ensure you have proper authorization to input or manage another person’s health information.
  • Represent that you are at least the age of 13. If you are under the age of 13 and desire to create an Account, please reach out to us via email at info@clarity.health.

You are solely responsible for:

  • Decisions made based on information from the Services.
  • Actions taken (or not taken) as a result of using Clare or the Services.

6. Privacy and Data Use

Your use of the Services is also governed by our Privacy Policy.

By using the Services, you acknowledge:

  • To obtain responses and information You seek, You may input sensitive personal and health-related information.
  • Clarity may process and analyze this data to provide insights, alerts, and improvements to the Services both to You, and as provided in our Privacy Policy, to others.
  • As set forth in our Privacy Policy, data shall be de-identified and aggregated to improve models, analytics, and system performance.

We implement safeguards to protect your data, but no system is completely secure.

7. Non-Confidential Information

Except as otherwise described in our Privacy Policy:

  • Any feedback, suggestions, or non-personal information you submit may be used by Clarity without restriction.
  • You grant Clarity a perpetual, irrevocable, royalty-free, transferrable license to use such information as described herein and in our Privacy Policy.
  • You are not authorized to share any information, whether yours or that of a third party that is confidential.

8. Third-Party Content and Links

The Services may include links to third-party websites, tools, or services.

Clarity does not:

  • Control or endorse third-party content.
  • Guarantee the accuracy, safety, or reliability of external resources.

Use of third-party services is at your own risk and subject to those parties' terms, limitations and conditions.

9. Acceptable and Prohibited Use

You agree NOT to:

  • Use the Services for unlawful, harmful, or fraudulent purposes.
  • Republish any content contained within the Services, without Our prior written consent.
  • Attempt to reverse engineer, disrupt, or compromise the platform.
  • Input false or misleading health information intentionally.
  • Use Clare to generate or distribute harmful, abusive, or deceptive content.
  • Use the Services in a way that could interfere with patient safety or clinical decision-making without appropriate professional oversight.

Clarity reserves the right to suspend or terminate access to the Services for any violations of these Terms of Use, or any of Our other policies.

10. Intellectual Property

All content, features, functionality, branding, and technology associated with the Services—including Clarity and Clare—are owned by Clarity Health Intelligence, Inc. and/or its licensors.

You may not:

  • Copy, reproduce, modify, or distribute content without Our prior written permission.
  • Use Clarity trademarks or branding without Our prior written authorization.

11. No Warranty

The Services are provided “as is” and “as available.”

To the fullest extent allowable by law, Clarity disclaims all warranties, express or implied, including, but not limited to:

  • Accuracy or reliability of information.
  • Fitness for a particular purpose.
  • Merchantability.
  • Non-infringement.

We do not guarantee:

  • That the Services will be uninterrupted or error-free.
  • That outputs from Clare will be accurate or clinically appropriate.

12. Limitation of Liability

To the fullest extent permitted by law:

Clarity shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages.
  • Any decisions made based on information from the Services.
  • Any health outcomes or care-related consequences.

Your use of the Services is at your own risk.

13. Indemnification

You agree to indemnify, defend and hold harmless Clarity, its affiliates, officers, directors, agents and employees from any claims, damages, or losses arising from:

  • Your use of the Services.
  • Your violation of these Terms of Use.
  • Your misuse of health-related information or AI-generated content.

14. No Support or Clinical Oversight

Clarity does not provide:

  • Clinical monitoring.
  • Emergency support.
  • Real-time intervention.

The Services are not intended to replace professional care teams or care management programs.

15. Compliance with Laws

You agree to comply with all applicable laws and regulations in your use of the Services, including those related to:

  • Health information privacy.
  • Data use.
  • Caregiving authority.

16. Governing Law and Waiver of Jury Trial

These Terms of Use are governed by the laws of the State of California, without regard to conflict of law principles.

To the fullest extent permitted by law:

  • You agree to waive any right to a jury trial.
  • By using the Services, You consent to the exclusive jurisdiction of the courts located in the state of California.
  • Any disputes shall be resolved in the courts located in California

17. Changes to Terms

We may update these Terms from time to time.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

18. Miscellaneous

  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • These Terms constitute the entire agreement between you and Clarity.
  • Failure to enforce any provision does not waive our rights.
